You probably need to write it to specify that then, because if you don't it will surely be used in unintended ways...

Hi all,
  The idea for this spell was that the Flame Fiend could 
withdraw from combat for a couple turns and 
regenerate some.  

  After it got some hit points back, it comes at the party 
again.

It depends how you envisage the creature using its insubstantial mode. Is it a method of escape, of evading pursuit, of penetrating an obstacle, of regenerating damage, what?

I generally dislike monsters that can make themselves completely invulnerable unless you have some specific gadget. (Slimes are a problem in this respect, if you don't have fire.) A PC standing around doing nothing is a bored player. Let them do something, make some contribution, even if it's not very effective.
